Welcome to Nemtech Solutions, LLC. By accessing or using NTS CRM and related services, you agree to be bound by this Service Agreement (the "Agreement"). If you do not agree, you must not use the Service.

Acceptance of Terms

By creating an account, accessing, or using NTS CRM (the "Service"), operated by Nemtech Solutions, LLC, you acknowledge that you have read, understood, and agree to be bound by this Agreement and by our Privacy Policy, which is incorporated here by reference. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement.

Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.

Account Registration

You are responsible for maintaining the confidentiality of your account information and agree to notify us immediately of any unauthorized use of your account.

Use of Service

NTS CRM provides a suite of business tools including, but not limited to, client and contact management, invoicing and billing, time tracking, media creation (flip-books, voice notes, screen recordings), AI-assisted workflows, and communication features. Available features depend on your subscription tier.

You agree that you will not:

  • Use the Service in any manner that violates applicable laws, regulations, or third-party rights.
  • Attempt to reverse-engineer, decompile, scrape, or probe the Service for vulnerabilities outside of a coordinated disclosure arrangement.
  • Circumvent rate limits, authentication, credit metering, or other access controls.
  • Upload content that infringes intellectual property rights, contains malware, or violates the privacy of others.
  • Resell, white-label, or sublicense the Service without our written permission.
  • Use the Service to harass, defame, or impersonate any person or organization.

We may throttle, suspend, or remove access to specific features if we detect misuse, abuse, or activity that threatens the stability or security of the Service for other users.

AI Acceptable Use

NTS CRM includes AI-assisted features (content generation, voice transcription, summarization, companion chat, and related tools). These features are provided subject to the general Use of Service terms and the following additional restrictions. You agree not to use AI features to:

  • Generate content that is illegal, defamatory, harassing, discriminatory, or sexually explicit involving minors.
  • Create content designed to deceive, defraud, or impersonate real individuals without consent.
  • Produce material that infringes copyrights, trademarks, or other intellectual property rights of third parties.
  • Extract training data, reverse-engineer system prompts, or attempt to bypass safety filters on underlying models.
  • Automate bulk abuse — spam generation, mass-phishing templates, disinformation campaigns, or equivalent harmful output.
  • Feed confidential information belonging to third parties into AI features without authorization to do so.

You remain responsible for reviewing AI-generated output before acting on it or sharing it. AI outputs may contain inaccuracies, and you should not rely on them as legal, medical, financial, or professional advice. Companion memory: Your AI Companion maintains persistent memory about you (preferences, goals, patterns, achievements) across sessions so it can serve you in context. You can review, edit, or wipe this memory at any time in Settings → Companion → Memory. Wiping is immediate and irreversible. See Privacy Policy → AI Features & Data Processing for what's stored and how it's used.

Connected Services (Email, OAuth)

NTS CRM lets you connect external services — most notably Gmail and Microsoft Outlook — using OAuth 2.0. By connecting an external account, you agree that:

  • You have authority to grant NTS CRM access to the connected account, and you will not connect accounts that belong to others without their permission.
  • Your use of the connected service remains subject to that provider's own terms (for example, Google's terms for Gmail and Microsoft's terms for Outlook). NTS CRM is not responsible for changes those providers make to their service.
  • You can revoke our access at any time from Settings → Integrations within NTS CRM, or directly from the connected provider's account-permissions surface.

We use OAuth scopes only to deliver the integration features you opted into. For the specific list of what we read, write, and store, see Privacy Policy → Email Integration.

Your Content & Ownership

You retain ownership of everything you create in NTS CRM — including client and contact records, time entries, invoices, notes, voice recordings, flip-book media, screen recordings, companion transcripts, and any other content you author or upload ("Your Content").

To operate the Service, we need a limited license to your content. By using the Service, you grant Nemtech Solutions, LLC a non-exclusive, worldwide, royalty-free license to host, store, display, transmit, process, and otherwise use Your Content solely to provide the Service to you (for example: rendering a flip-book you created, sending an invoice you authored, surfacing records in your workspace, or processing a prompt through our AI sub-processors on your behalf).

This license is intentionally narrow. We do not:

  • Sell Your Content, and we do not share it for cross-context behavioral advertising.
  • Use Your Content to train publicly available AI models.
  • Claim ownership of Your Content or any derivative work you create with AI features.

You can export or delete Your Content at any time. The license terminates when you delete the content or close your account, subject to the retention and deletion windows described in our Privacy Policy. You are responsible for ensuring you have the rights to any content you upload or input into the Service.

Subscription, Credits & Billing

NTS CRM offers multiple subscription tiers with different feature allowances. Some features (such as AI generation, video production, and other compute-intensive workflows) additionally consume credits, which are metered per use. Your current tier and credit balance are visible in your account settings.

  • Payment processing: Subscription and credit purchases are processed by Stripe, Inc. We do not store full payment card data on our servers. Your use of Stripe's services is subject to Stripe's own terms.
  • Recurring charges: Paid subscriptions renew automatically on the cadence shown at checkout (monthly or annually) until you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
  • Credits: Credits are non-transferable and non-refundable once consumed. Unused credits may carry over or expire according to the terms in effect when you purchased them.
  • Taxes: Prices shown exclude applicable taxes unless stated otherwise. You are responsible for any taxes, duties, or fees imposed by your jurisdiction.
  • Price changes: We may modify subscription pricing. Material changes will be communicated in advance by email or in-app notification, and will not take effect until the start of your next billing cycle. If you do not accept the new pricing, you may cancel before it takes effect.
  • Failed payments: If a payment fails, we may retry the charge and/or suspend paid features until the balance is settled. We will notify you before suspending access.

Refunds

We do not offer automatic refunds. Purchases — including subscription payments and credit top-ups — are considered final once processed. However, if you believe you have been billed in error, experienced a significant service issue, or have another good-faith reason to request a refund, we'll review the request on a case-by-case basis.

To request a refund, contact support@nemtechsolutions.com with:

  • The email address associated with your account;
  • The charge in question (date, amount, or Stripe receipt if available);
  • A brief explanation of the reason for the request.

Refund decisions are at our sole discretion and will be communicated in writing. Regardless of outcome, credits that have already been consumed are non-refundable, and any refund for a partially used billing period may be pro-rated or issued as account credit at our discretion. Refunds are returned to the original payment method via Stripe and typically settle within 5–10 business days.

Changes to this Agreement

  • Material changes — amendments that meaningfully alter your rights, the scope of the license, pricing structure, or dispute-resolution terms — will be announced in advance by email or in-app notification, and will take effect only after that notice period.
  • Non-material changes — typo corrections, clarifications, link updates, and similar housekeeping — take effect when posted, with the "Last Updated" date at the top of this page reflecting the revision.
  • Your continued use of the Service after the effective date of an update constitutes acceptance of the revised Agreement. If you do not agree to a material change, you may close your account before the change takes effect.

Termination

By you: You may stop using the Service and close your account at any time from your account settings. Cancellation of a paid subscription takes effect at the end of the current billing period, and you will retain access to paid features until then.

By us: We may suspend or terminate your access to the Service if you violate this Agreement, engage in conduct that we reasonably believe is harmful to other users or to the integrity of the Service, or fail to pay amounts owed. Where practical, we will provide notice and an opportunity to cure non-material violations before termination; we reserve the right to suspend immediately in cases of serious misconduct, security risk, or legal compulsion.

Effect on your data: After your account is closed — whether by you or by us — we handle your data according to the retention and deletion windows described in our Privacy Policy — Account Deletion section. You are responsible for exporting any content you wish to keep before the deletion window elapses.

Our Intellectual Property

All rights in the Service itself — including the NTS CRM software, user interface, design system, underlying code, trademarks, logos, documentation, and compiled content libraries — are owned by Nemtech Solutions, LLC or our licensors. No provision of this Agreement grants you any right in our intellectual property beyond the limited right to access and use the Service in accordance with this Agreement.

Rights in content you create within the Service are covered separately under Your Content & Ownership — you retain ownership of that material.

Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the fullest extent permitted by law, Nemtech Solutions, LLC disclaims all warranties, express or implied — including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, error-free, secure, or free of malicious code;
  • Defects will be corrected within any specific timeframe;
  • AI-generated output will be accurate, complete, current, or fit for any particular use;
  • Third-party sub-processors (including payment, AI, email, and hosting providers) will maintain any specific service level;
  • The Service will meet your specific business requirements.

You are responsible for independently verifying any output before relying on it for decisions with legal, financial, medical, or safety consequences.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Nemtech Solutions, LLC, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including, without limitation, lost profits, lost revenue, lost data, business interruption, or loss of goodwill — arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or related to the Service shall not exceed the greater of (a) the amount you paid to Nemtech Solutions, LLC for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you. Nothing in this Agreement limits liability that cannot be limited under applicable law.

Governing Law & Dispute Resolution

[Attorney review required before publication.] This section will specify the governing law, venue, and dispute-resolution mechanism (including any arbitration clause and class-action waiver) once reviewed by legal counsel. Until that review is complete, the parties will attempt to resolve any dispute in good faith through direct negotiation, and any claim not so resolved will be subject to the jurisdictions available under applicable law.
